PURPOSE AND SCOPE OF THIS DISCLOSURE

This Earnings Disclosure Statement (“Disclosure”) is published by ZionHill Global, LLC, a Texas limited liability company (“ZionHill Global,” “Company,” “we,” or “us”), in the interest of full transparency and compliance with applicable federal and state disclosure requirements. This Disclosure applies to any individual, participant, associate, independent contractor, or prospective business partner (collectively, “Participant”) who is evaluating or engaged in any income-generating activity facilitated, described, or referenced in connection with ZionHill Global’s platform, programs, products, or Services.

The purpose of this Disclosure is to provide a fair, balanced, and legally compliant representation of the income potential—and the inherent limitations and risks—associated with participation in ZionHill Global’s business model. This Disclosure is incorporated by reference into ZionHill Global’s Terms and Conditions of Use and Privacy Policy and should be read in conjunction with those documents.

INDEPENDENT CONTRACTOR STATUS

2.1  No Employment Relationship. All Participants who engage in business development, client referral, or service-related activities through or in connection with ZionHill Global do so as independent contractors, not as employees, agents, partners, joint venturers, or franchisees of ZionHill Global, LLC. Nothing in any agreement, communication, presentation, or disclosure published by ZionHill Global shall be construed to create an employment, agency, or partnership relationship.

2.2  Autonomy and Personal Responsibility. As an independent contractor, each Participant is solely responsible for: (i) determining their own schedule, methods, and manner of work; (ii) all federal, state, and local taxes arising from any income earned; (iii) obtaining and maintaining all required licenses, registrations, and authorizations applicable to their activities; and (iv) all business expenses incurred in connection with their independent activities.

2.3  No Authority to Bind. No Participant is authorized to make representations, warranties, guarantees, or promises on behalf of ZionHill Global, LLC, or to legally obligate or bind the Company in any manner whatsoever. Any representation to the contrary is unauthorized and shall be of no legal force or effect.

HOW INCOME MAY BE EARNED

Income, compensation, and financial benefit in connection with ZionHill Global may be derived through one or more of the following categories, depending on the nature of a Participant’s engagement:

  • Client Development and Referral: Income may be generated through the development of client relationships and the successful referral of qualified individuals to licensed financial professionals for products and services offered through ZionHill Global’s affiliated network.
  • Performance-Based Compensation: Compensation may be tied to measurable performance metrics, including but not limited to the number of qualified client introductions, executed service agreements, or completed financial plans, subject to the terms of any applicable independent contractor or compensation agreement.
  • Training and Development Overrides: Certain qualified Participants may be eligible to receive compensation related to the recruitment, onboarding, and production of other licensed participants, subject to all applicable securities, insurance, and business opportunity regulations.
  • Business Development Activities: Revenue may also be generated through speaking engagements, coaching, consulting services, digital products, or other business development activities conducted independently by the Participant, consistent with applicable licensing requirements.

The availability and structure of each income category is subject to change, and not all categories may be available to all Participants. Participation in any income-generating activity does not guarantee earnings of any kind.

MATERIAL FACTORS AFFECTING INCOME

Income derived from any activity associated with ZionHill Global’s platform is directly and substantially dependent upon a combination of individual and market factors that vary widely from person to person. The following is a non-exhaustive list of variables that materially influence a Participant’s ability to earn income:

  • Effort and Time Investment: The amount of time and consistent effort a Participant dedicates to business development, client outreach, and skill acquisition is one of the most significant determinants of income potential.
  • Professional Licensure and Compliance: Certain income-generating activities require the Participant to hold valid and active federal and/or state licenses (e.g., life and health insurance producer license, securities registration). Failure to obtain and maintain required licensure will materially limit or entirely preclude income from certain activities.
  • Skill, Experience, and Training: A Participant’s educational background, professional experience, communication skills, and completion of training programs directly affect their effectiveness and productivity.
  • Market Conditions and Geography: Local economic conditions, population demographics, competitive landscape, and access to qualified prospective clients significantly impact income potential and may vary substantially by geographic region.
  • Personal Network and Relationships: The size, quality, and accessibility of a Participant’s personal and professional network can meaningfully affect the speed and magnitude of income generation.
  • Business Expenses: Participants may incur substantial business-related expenses—including licensing fees, examination costs, continuing education, marketing, transportation, and technology—which reduce net income.

ZionHill Global does not control, monitor, or guarantee any outcome associated with the foregoing variables. Individual results are inherently unpredictable.

REPRESENTATIVE INCOME ILLUSTRATIONS AND HYPOTHETICAL EXAMPLES

5.1  Nature of Illustrations. From time to time, ZionHill Global may present income examples, success stories, or illustrative earnings figures on the Site, in presentations, or in marketing materials. ALL SUCH EXAMPLES ARE STRICTLY HYPOTHETICAL AND FOR ILLUSTRATIVE PURPOSES ONLY. They are not based on average Participant results and do not reflect the typical experience of participants in ZionHill Global’s business model.

5.2  Not a Guarantee or Prediction. Hypothetical earnings illustrations do not constitute a promise, guarantee, representation, or prediction of any specific income level. Actual results will depend on the individual factors described in Section 4 of this Disclosure, and may be substantially lower—or higher—than any illustrative figure presented.

5.3  Atypical Results. Any income figure attributed to a specific individual should be understood as reflecting that person’s unique circumstances, background, level of effort, and favorable market conditions, and should not be considered representative of the typical Participant’s experience. Many Participants who engage in business development activities earn little to no net income.

5.4  No Reliance. You should not make any financial, career, or business decision based solely or primarily on hypothetical income illustrations provided by ZionHill Global. You are strongly encouraged to independently evaluate your own circumstances and consult with qualified legal, financial, or business advisors before taking any action.

BUSINESS COSTS AND EXPENSES

Participation in any business opportunity involves real costs. Participants should carefully evaluate all potential expenses before committing to any activity. Costs that Participants may incur in connection with ZionHill Global-affiliated activities include, without limitation:

  • State and federal licensing examination fees and application costs;
  • Required pre-licensing and continuing education course fees;
  • Errors and omissions (E&O) insurance premiums;
  • Marketing, advertising, and promotional materials;
  • Technology subscriptions, software, and CRM tools;
  • Transportation, fuel, and travel expenses;
  • Professional development, coaching, or training programs;
  • Legal, accounting, and tax preparation fees;
  • Business entity formation and compliance costs.

These costs are the sole responsibility of the Participant. ZionHill Global makes no representation that these costs will be offset or covered by any income earned.

REGULATORY COMPLIANCE AND LICENSING

7.1  Licensing Requirements. Many activities related to financial services—including but not limited to the solicitation, negotiation, or sale of insurance products, annuities, or investment products—require the Participant to hold one or more active state or federal licenses. Participants must independently determine what licenses are required for their activities, obtain all required licenses prior to engaging in regulated activities, and maintain those licenses in good standing throughout their engagement.

7.2  ZionHill Global’s Role. ZionHill Global does not provide licensing, does not guarantee licensure, and is not responsible for any regulatory or legal consequences arising from a Participant engaging in licensed activities without proper authorization.

7.3  Compliance Obligation. Participants are solely responsible for compliance with all applicable federal, state, and local laws, rules, and regulations governing their activities, including those administered by the Financial Industry Regulatory Authority (FINRA), the Securities and Exchange Commission (SEC), state insurance departments, and any other applicable regulatory body.

TYPICAL AND ATYPICAL RESULTS

The income potential described in any ZionHill Global presentation, website, or marketing material represents outcomes achievable only by a small percentage of highly motivated, well-networked, fully licensed individuals who dedicate substantial time and resources to their business activities over an extended period. THESE RESULTS ARE NOT TYPICAL.

The majority of individuals who explore business opportunities in financial services do not achieve significant income. Many earn little or no net income after accounting for business expenses. Factors entirely outside the control of ZionHill Global—including but not limited to personal aptitude, work ethic, economic conditions, and regulatory constraints—play a decisive role in individual outcomes.
